2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements |
The accounts have been prepared using the going concern basis as the director is implementing procedures to |
control cost and improve profitability to return the company to profit within the forthcoming twelve months from |
the date of this report. |
Turnover |
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, |
value added tax and other sales taxes. |
Intangible assets |
Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost |
less any accumulated amortisation and any accumulated impairment losses. |

Stocks |
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow |
moving items. |
Taxation |
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to |
the extent that it relates to items recognised in other comprehensive income or directly in equity. |
Current or deferred taxation assets and liabilities are not discounted. |
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or |
substantively enacted by the balance sheet date. |
Deferred tax |
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance |
sheet date. |
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from |
those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that |
have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the |
timing difference. |
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they |
will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |

12. | CONTINGENT GAIN |
Within other debtors is the sum of £88,444 which comprises costs identified as recoverable from third parties in |
a future legal case to be actioned. The director has taken legal advice and the opinion of the company's legal |
advisors is that there is a 60% to 65% chance of success of recovery. Based on this opinion, the costs are not |
written off and are essentially being carried forward as a contingent gain. If the case were not to succeed, further |
exceptional costs of £88,444 would, therefore, need to be written off. |
13. | RELATED PARTY DISCLOSURES |
During the year, the company was provided with further funding from Valley of the Moon Holdings Inc, a |
shareholder of the parent undertaking, 3rd Time's The Charm Limited. The balance owed to Valley of the Moon |
Holdings Inc at the year end was £287,500 (2017 £220,000). There is no agreed repayment term for this liability. |
During the year, consultancy fees of £43,180 ( 2017 £77,787) were paid to Mr P A Vernon, a director of the |
parent undertaking, 3rd Time's The Charm Limited and also a director of this company. |
14. | ULTIMATE CONTROLLING PARTY |
The company is a wholly owned subsidiary of 3rd Time's The Charm Limited, a company registered in England. |
The shares were transferred from the former parent undertaking, Alpha Busch Limited, a company registered in |
England, on 16 November 2017. The registered office address of both 3rd Time's The Charm Limited and Alpha |
Busch Limited is 5 Clarendon Place Leamington Spa Warwickshire. |
