The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the |
financial statements of the charity for the year ended 30 September 2017. The trustees have adopted the provisions of Accounting |
and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance |
with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015). |
OBJECTIVES AND ACTIVITIES |
Objectives and aims |
The Charity is a public benefit entity. The objects of the Charity are such exclusively charitable purposes as the Trustees in their |
absolute discretion shall from time to time determine in order to further the charity's purposes for public benefit. Such broad objects |
allow the charity to support a wide range of local community improvement projects, currently and in the future. |
The trustees have given due regard to the Charity Commission guidance on public benefit. |
ACHIEVEMENT AND PERFORMANCE |
The past year has been another successful period for the Trust with the usual ups and downs perhaps. |
Since the last AGM we have been involved in a number of events. The Christmas Flower Evening was a success and a lovely event |
to start the festive season raising £294, the Folk Night on 19th November another great success which benefitted the Trust by £630. |
We had the Elvis Tribute Night in the Village Club on the 5th May, which raised £890 for the Greenbelt campaign - a great night |
with really good entertainment, many thanks to the Club for organising and hosting this event. |
The Trust again supported the Classic Car Rally in July which gathered on the Village Green for their display and judging, the |
weather was kind, so it was a really well attended afternoon, we sold refreshments and home-made cakes once again, raising |
£358.We are proud to report that the Village Green was once again awarded the "Green Flag" for parks and open spaces; making it |
a record breaking achievement. We also benefited from the annual sale of hanging baskets, thanks to Anne Lyons for organising. |
The Christmas lights remain a major feature in enhancing the village during the festive season, creating a lovely festive feel, we |
spent £906 on new lights for last Christmas adding new strings to already existing lights. |
We were also fortunate to benefit from some additional donations during the year. |
I am pleased to report that our members still regularly bring matters to the Trust where we can discuss and decide what action or |
help we can give, examples this year have been to comment on the bus review by Mersey travel; to be updated on the current |
struggle to have improved internet coverage in the area and to feed back to our councillors on street lighting and other hazards that |
the council should be on top of. This year has seen some road re-surfacing works carried out through the village that have been |
worked on twice so far and still not reached an acceptable standard. We continue to challenge these situations. |
In many situations the Trust offers the vehicle to open doors or facilitate as required, we are able to rely on members or associates |
to investigate or help in any situation that may arise. |
We have for the past year had the likelihood of a major planning application being submitted for a Continuing Care Village at |
Hilltop Farm. This application has now been submitted by Leverhulme Estates and we await the publication of the plans. This is a |
hugely concerning issue for an overwhelming number of residents and friends further afield. As a community we will fight these |
plans and I hope we will be successful in stopping this development. I do think however, it will be a long struggle and we will need |
the support of everyone. |
We have had a certain amount of success with the planning application at Brimstage, the council have asked Leverhulme Estates to |
revise their plans reducing the impact on the Greenbelt, making use of current parking facilities and not creating such a large |
entrance and egress as was originally applied for. |
Without the Community Trust, Thornton Hough would be a less pro-active and supportive community. To enable us to continue |
our work for the community we urge as many residents of the parish as possible to commit to being members. The cost is just £5 |
per year, which has remained unchanged for many years. |

ACHIEVEMENT AND PERFORMANCE |
Membership commitment ensures the trust can continue supporting our community for years to come. Recent concerns are around |
the further reduction of our community police service and the spate of thefts that have happened. The trust is in huge support of |
neighbourhood awareness and urge members and residents to be extra vigilant whilst in and around the village. |
Other ongoing issues include speeding and the increasing weight of traffic through the village, plus the increasing use of the village |
by HGV's as a short cut. We remain in regular contact with the ALDI distribution centre located just across the border in Cheshire. |
The Wirral Borough Council Core Strategy and Local Plan is a potentially major concern for the year ahead. We know our |
Greenbelt is anything but protected in reality and it is vital that the Trust remain strong in opposing planning applications that are |
likely to be detrimental and likely to change our beautiful village and parish for ever. I really do feel that the potential future |
implications of this strategic plan could be massive and as such we will continue to keep this as an agenda item at every trust |
meeting along with ECV. |
I look forward to another successful year ahead and would like to thank members, the trustees and officers for their commitment |
and hard work during the past year. |
FINANCIAL REVIEW |
Financial position |
The fundraising activity has been modest in the past few years, although it continues to fund a few grant requests and maintains our |
objective of enhancing the village for all to enjoy. For the year ended 30 September 2017 there was a surplus for the year of £498. |
As at 30 September 2017 there were total retained funds of £15,763 (2016 - £15,265). |
Reserves policy |
The Trustees have an agreed reserve policy of £5000. As at 30 September 2017, unrestricted funds amounted to £11,783 and |
restricted funds amounted to £3,980. Further information regarding these funds can be found in note 9 to the financial statements. |
Going concern |
There are no material uncertainties about the charity's ability to continue. |
FUTURE PLANS |
We have our festive fund-raising event already planned, the Flower Arranging evening, please buy tickets and encourage friends |
and neighbours to attend. |
The trust will continue to be a vehicle for residents to turn to when they need assistance, whether that be in an advisory capacity or |
to draw together parties concerned with the issue at hand. |
As the only community group in the Clatterbridge Ward the Trust is well positioned to lobby our local councillors who regularly |
attend Trust meetings questioning them on issues and asking for their support. |
The Trust will continue to actively encourage new members and to carry on working to enhance our beautiful parish assisting both |
members and non-members when they most need it. |

Governing document |
The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as |
defined by the Companies Act 2006. |
Thornton Hough Community Trust Limited is a company limited by guarantee, incorporated on 25th May 2005 and registered as a |
charity on 6th June 2005. The company is established under a Memorandum of Association which set out the objects and powers of |
the charitable company and is governed under its Articles of Association. |

STRUCTURE, GOVERNANCE AND MANAGEMENT |
Recruitment and appointment of new trustees |
As set out in the Articles of Association, at the first Annual General Meeting all the Trustees shall be subject to retirement. For |
every Annual General Meeting, thereafter one-third of the Trustees shall be subject to retirement by rotation. Those who have been |
longest in office, since their last appointment or reappointment will be subject to this requirement. If the vacancy left by a retiring |
Trustee is not filled at the meeting, the retiring Trustee will be reappointed if willing to continue. |
Induction and training of new trustees |
New Trustees will be briefed on their legal obligations under charity and company law, the content of the Memorandum and |
Articles of Association, the committee and decision-making processes. |
Risk management |
The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in |
place to provide reasonable assurance against fraud and error. |
The Trustees regularly review the Charity's policies, systems and controls to ensure that there are no risks to which the Charity may |
be exposed. |

STATEMENT OF TRUSTEES RESPONSIBILITIES |
The trustees (who are also the directors of Thornton Hough Community Trust Ltd for the purposes of company law) are |
responsible for preparing the Report of the Trustees and the financial statements in accordance with applicable law and United |
Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). |
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state |
of affairs of the charitable company and of the incoming resources and application of resources, including the income and |
expenditure, of the charitable company for that period. In preparing those financial statements, the trustees are required to |
- | select suitable accounting policies and then apply them consistently; |
- | observe the methods and principles in the Charity SORP; |
- | make judgements and estimates that are reasonable and prudent; |
- | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in business. |
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the |
financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies |
Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for |
the prevention and detection of fraud and other irregularities. |

I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 September 2017. |
Responsibilities and basis of report |
As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). |
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. |

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: |
1. | accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or |
2. | the accounts do not accord with those records; or |
3. | the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or |

The charitable company is entitled to exemption from audit under |
Section 477 of the Companies Act 2006 for the year ended 30 September 2017. |
The members have not required the company to obtain an audit of its financial statements for the year ended 30 September 2017 in |
accordance with Section 476 of the Companies Act 2006. |
The trustees acknowledge their responsibilities for |
(a) | ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and |
(b) | preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. |

1. | ACCOUNTING POLICIES |
Basis of preparing the financial statements |
The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in |
accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended |
Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in |
the UK and Republic of Ireland (FRS 102) (effective 1 January 2015)', Financial Reporting Standard 102 'The Financial |
Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements |
have been prepared under the historical cost convention. |
Thornton Hough Community Trust is a registered charity and a company, limited by guarantee, registered in England and |
Wales (Company number 05462878). The company number and registered office address can be found in the Trustees |
report. |
The financial statements the individual entity only. |
The financial statements are presented in sterling which is the functional currency of the company, rounded to the nearest |
£1. |
Income |
All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable |
that the income will be received and the amount can be measured reliably. The charity does not financially account for gifts |
of time by volunteers. Should there be any material tangible gifts then they will be accounted for at valuation. |
Expenditure |
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that |
expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the |
obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under |
headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings |
they have been allocated to activities on a basis consistent with the use of resources. |
Taxation |
The charity is exempt from corporation tax on its charitable activities. |
Fund accounting |
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. |
Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise |
when specified by the donor or when funds are raised for particular restricted purposes. |

8. | RELATED PARTY DISCLOSURES |
There were no related party transactions for the year ended 30 September 2017. |
9. | ANALYSIS OF FUNDS |
Unrestricted funds are held for furtherance of the Company's charitable activities. |
Restricted funds, which total £3,980. Restricted funds consist of the balance of a grant received from Wirral MBC to repair |
the pavilion and this work has not been completed at the year end and which amounts to £1500 and a gift from Lord |
Leverhulme's daughters for renovation of War Memorial amounting to £2,480. |
10. | FIRST YEAR ADOPTION |
These are the first financial statements that comply with FRS 102. The company transitioned to FRS 102 on 1 October |
2015. There were no adjustments required on equity or income and expenditure for the year. |
