1. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with the provisions of Section 1A "Small Entities" of Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Turnover
Turnover represents the invoiced value of goods and services supplied by the company, net
of value added tax and trade discounts, in relation to the sale, installation and maintenance
of transport infrastructure products.Turnover in respect of contracts for uninvoiced ongoing
goods and services is recognised by reference to the stage of completion at the year end.

Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of
exchange ruling at the balance sheet date. Transactions in foreign currencies are translated
into sterling at the rate of exchange ruling at the date of transaction. Exchange differences
are taken into account in arriving at the operating result.

Pension costs
The company operates a defined contribution pension scheme. Contributions payable to the
company's pension scheme are charged to profit or loss in the period to which they relate.

The average number of employees during the year was 28 (2016 - 25 ) .

8. CONTINGENT LIABILITIES

There is an unlimited inter company cross guarantee between this company, its ultimate
parent undertaking, BSW Holdings Limited, and its fellow subsidiaries, BSW Systems
Limited and SMFI Limited. At the balance sheet date the amount of net bank borrowings in
respect of these companies was £1,018,198 (2016 - £754,346).

There is also an inter company Finance Wales cross guarantee between this company, its
ultimate parent undertaking, BSW Holdings Limited, and its fellow subsidiaries, BSW
Systems Limited and Bus Shelters Limited. At the balance sheet date the amount of
borrowings in respect of these companies was £1,157,947 (2016 - £1,130,079).

As at the balance sheet date the company bankers had issued performance bonds,
guarantees and indemnities for Bus Shelters Limited to the amount of £1,934,751 (2016 -
£1,979,195).

As at the balance date the company bankers had issued performance bonds, guarantees
and indemnities to other group companies (covered by the cross guarantee) to the amount
of £1,114,569 (2016 - £2,487,844).

9. CAPITAL COMMITMENTS

The company had total guarantees and commitments at the balance sheet date of £406,000
(2016 - £0).

10. ULTIMATE PARENT UNDERTAKING

The company's ultimate parent undertaking at the balance sheet date was BSW Holdings
Limited.
