Governing Document |
Kingsbridge Agricultural and Horticultural Society Limited is a company limited by guarantee and is governed by it's memorandum and articles of association, dated 18 March 2008. The trustees' individual liability is limited to £1 in the event of the charity winding up. |

|
Objectives and activities |
The Charity's objectives are the advancement of agriculture and horticulture for the benefit of the public. |
In furtherance of the foregoing object but not further or otherwise the society shall have the following powers:- |
(a) To hold an annual show known as "Kingsbridge Show". |
(b) To raise funds and to invite and receive contributions from any person whatsoever by way of subscriptions and otherwise provided that the society shall not undertake any permanent trading activities in raising funds for its charitable object. |
(c) To collect and receive funds by way of contributions, donations, subscriptions, legacies, grants and appeals for furtherance of the annual show. |

Review of activities |
Kingsbridge Show 2023 was held on Saturday 2nd September 2023. The show will continue to grow whilst trying to maintain a local feel and keeping it's traditional agricultural and horticultural roots. |
|
|
Reserves |
The charity has no specific policy as to the level of unrestricted reserves held and has no restricted or designated unrestricted funds. |
|

Risk recognition |
The trustees examine the major risks to which the charity is exposed and are satisfied that procedures are in place to mitigate these risks. |

Appointment of Trustees |
The directors of the company are also Trustees for the purposes of Charity Law. When the company was formed, it was decided that directors would have to retire after three years by rotation and would be eligible for re-election at the AGM. |
|
Statement of Trustees' responsibilities. |
Company Law requires the Trustees to prepare financial statements for each financial year that give a true and fair view of the state of affairs of the company and of the income and expenditure of the company for that year. In preparing these financial statements the Trustees have: |
|
• Selected suitable accounting policies and applied them consistently |
|
• Made judgements and estimates that are reasonable and prudent |
|
• Followed applicable accounting standards and statements of recommended practice without material departure, or otherwise stated the reason for such departure |
|
• Prepared the financial statements on the going concern basis |
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. |

Small company provisions |
This report has been prepared in accordance with the provisions in Part 15 of the Companies Act 2006 applicable to companies subject to the small companies regime. |
|
This report was approved by the board on 7 May 2024 and signed on its behalf. |

I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 November 2023 |
Responsibilities and basis of report |
As the charity’s trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’). |
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. |
Independent examiner’s statement |
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: |
1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or |
2. the accounts do not accord with those records; or |
3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view which is not a matter considered as part of an independent examination; or |
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities [applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)] |
|
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached. |

Accounting policies |

Basis of preparation |
|
The charity constitutes a public benefit entity as defined by FRS 102. The financial statements have been prepared under the historical cost convention in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities' : Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective January 2019) Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' the Charities Act 2011. |

Income |
|
All incoming resources, including income from investments, are included on the SOFA when received or due. The value of services provided by volunteers has not been included in these accounts. |
|

Expenditure |
|
All expenditure is accounted for on an accruals basis including any VAT which cannot be recovered. |

Tangible fixed assets |
|
Tangible fixed assets costing more than £500 are capitalised and included at cost. |

Depreciation has been provided at the following rates in order to write off the assets over their estimated useful lives. |
