For the period ending 31 December 2022 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous period, and also have been consistently applied within the same accounts.
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
The accounts are presented in £ sterling.

Transactions with related parties
Acquisition of Creative8 Ltd
On 29 March 2021 Creative8 Holdings Ltd purchased wholly owned subsidiary Creative8 Ltd for total consideration of £807,251, being a combination of cash together with a share for share exchange in Creative8 Holdings Ltd.
Mr P Harber was given a combination of cash and shares in the Creative8 Holdings Ltd for his entire shareholding of 160 A Ordinary shares in Creative8 Ltd. Creative8 Holdings Ltd paid cash and issued 14 A Ordinary shares in Creative8 Holdings which were held at year end representing 14% of the entire share capital of Creative8 Holdings Ltd.
Mr D Gurney was given 25 B Ordinary shares in Creative8 Holdings Ltd for his entire shareholding of 100 B Ordinary shares in Creative8 Ltd. Mr D Gurney held 25 B Ordinary shares at year end representing 25% of the entire share capital of Creative8 Holdings Ltd.
Mrs A Bailey was given 50 C Ordinary shares in Creative8 Holdings Ltd for her entire shareholding of 100 C Ordinary shares in Creative8 Ltd. Mrs A Bailey already held 1 Ordinary share in Creative8 Holdings Ltd and accordingly held 51 C Ordinary shares at year end representing 51% of the entire share capital of Creative8 Holdings Ltd.
Mr N Bracey was given 10 D Ordinary shares in Creative8 Holdings Ltd for his entire shareholding of 40 D Ordinary shares in Creative8 Ltd. Mr N Bracey held 10 D Ordinary shares at year end representing 10% of the entire share capital of Creative8 Holdings Ltd.
Financing the deal
Creative8 Holdings Ltd purchased the shares in exchange for an on-demand loan from Creative8 Ltd.
As at 31st December 2022, the company owed its wholly owned subsidiary £807,251.
