The company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 October 2022.

The members have not required the company to obtain an audit of its financial statements for the year ended 31 October 2022 in accordance with Section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for:

(a)	ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and

(b)

preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.

The financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

In accordance with Section 444 of the Companies Act 2006, the Income Statement has not been delivered.

1.	STATUTORY INFORMATION

ZP Secured Direct Lending Holdings Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

2.	ACCOUNTING POLICIES

Basis of preparing the financial statements

These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The principal accounting policies applied in the preparation of these financial statements are set our below and have been consistently applied in the financial statements.

The financial statements are presented in Sterling which is the Company's functional and presentational currency and have been prepared on the historical cost basis.

The financial statements have been prepared on a going concern basis as there are no plans to terminate the Company within the next year. The activities of the Company are dependent upon the future activity of the Subsidiary.

The company was dormant throughout the current year and previous year.

Investments in subsidiaries

Investments in subsidiary undertakings are carried at cost less any provision for impairment. An impairment charge is recognised when the carrying amount of the investment exceeds its recoverable amount.

Taxation

The company was dormant during the year and therefore no liability to taxation arose.

Deferred tax

The company was dormant during the year and therefore no liability to deferred taxation arose.

Fixed asset investments represents the Company's investment in its Subsidiary - ZP Secured Direct Lending PLC (a company incorporated in England and Wales with number 12061165). The Company owns 100% of the issued share of this entity.

7.	POST BALANCE SHEET EVENTS

There have been no subsequent events affecting the Company since the year end.

8.	ULTIMATE CONTROLLING PARTY

The entire share capital of the Company is held in a discretionary trust basis under a share trust deed by the legal parent company, Colfax Share Trustees Limited, a company incorporated in the United Kingdom and registered in England and Wales. As the trustees are not entitled to any economic benefit and the beneficiaries do not have any decision-making power, there is no controlling party. Colfax Share Trustees Limited is a wholly owned subsidiary of Colfax Corporate Limited.
