Year ended 28 February 2022
In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of Willoughby (610) Limited for the year ended 28 February 2022, which comprise the statement of financial position and the notes to the financial statements from the company's accounting records and from information and explanations you have given us. As a practising member firm of the Institute of Chartered Accountants in England and Wales (ICAEW), we are subject to its ethical and other professional requirements which are detailed at www.icaew.com/en/membership/regulations-standards-and-guidance. This report is made solely to the director of Willoughby (610) Limited in accordance with the terms of our engagement letter dated 24 July 2017. Our work has been undertaken solely to prepare for your approval the financial statements of Willoughby (610) Limited and state those matters that we have agreed to state to you in this report in accordance with ICAEW Technical Release 07/16 AAF as detailed at www.icaew.com/compilation. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than Willoughby (610) Limited and its director for our work or for this report.

Notes to the financial statements
1. Employee numbers
The average number of persons employed by the company during the year amounted to 25 (2021: 7 ).
2. Going concern
These accounts have been prepared on the going concern basis, on the understanding that the directors will continue to financially support the company.
3. Related party transactions and ultimate controlling party
Willoughby (607) Limited is the Company's immediate and ultimate controlling party. R Uppal is also a director of Bybrook Finance Solutions Limited and Bybrook Builders Limited.
During the period Bybrook Finance Solutions Limited lent the Company £277,386 (2021: £160,790). The amount outstanding at the period end is £750,727 (2021: £473,341). Bybrook Finance Solutions Limited has registered a legal mortgage over all the assets (present and future) of Willoughby (610) Limited in recognition of the present and future obligations owed to Bybrook Finance Solutions Limited.
During the period Bybrook Builders Limited repaid the Company £32,127 (2021: -£72,990). The amount outstanding at the period end is £41,787 (2021: £73,914). This amount is interest free and repayable on demand.
The company has availed itself of the exemption contained within FRS 102 Section 33 Related Party Disclosures not to disclose details of transactions with fellow group entities.
For the year ending 28 February 2022 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
Director's responsibilities:
- The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476 ;
- The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of financial statements .
These financial statements have been prepared in accordance with the micro-entity provisions and have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.
These financial statements were approved by the board of directors and authorised for issue on 22 February 2023 , and are signed on behalf of the board by:
