2 Directors' advances, credit and guarantees
Within Creditors falling due greater than one year there is:
1. A loan from New Lake 47 BV, a company registered in the Netherlands and wholly owned by J Shimmin, a shareholder and director of Spoon Cereals UK Ltd. The loan is interest free loan with no fixed repayment terms and totals £16,581 at 31 December 2021 (2020 £16,581).
2. A loan from J Shimmin at 31 December 2021 amounting to £302,431 (2020- £302,431). This loan is interest free with no fixed repayment terms.
3. A loan from C Shimmin at 31 December 2021 amounting to £25,000 (2020 - £25,000). This loan is interest free with no fixed repayment terms.
4. A convertible loan from New Lake 47 BV at 31 December 2021 amounting to £139,890 including interest (2020 - £101,606). Interest is payable at 8% on maturity.

During the year the average number of employees was 3 (2020: 3).

For the year ending 31 December 2021 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared in accordance with the micro-entity provisions of the Companies Act 2006 and FRS 105, The Financial Reporting Standard applicable to the Micro-entities Regime. The accounts have been delivered in accordance with the provisions applicable to companies subject to the small companies regime. The profit and loss account has not been delivered to the Registrar of Companies.
